To:                All Employees

From:                C. .E. O.

Date:                January 8, 2009

During last November’s Update I spoke to you about the global economic crisis, its effect on K&S, and the steps we were taking (freezing pays and a layoff).I said that the Company would reassess the situation after the holidays, and, depending on industry forecasts, might or might not have to take additional cost cutting steps. It has become painfully clear that there will be no early recovery in demand for our products, and that we must further reduce our expenses.
Since the last layoff, many of you have suggested pay cuts and short work weeks as a way to cut expenses while saving peoples jobs.I think that that is a good idea, and in that spirit, the first step we are taking is to reduce pay for all indirect labor employees up to salary grade 17 by 10%.Salary grades 18 and 19 will take a 15% reduction, and salary grade 20 (me) will take a 20% reduction.
Direct labor employees will not have their pay rate cut, but instead will have their work schedule reduced on a factory-by-factory basis, based on demand.
These cuts will be effective February, subject to local labor regulations.Your supervisor will be able to give you more information.
These pay cuts will apply to our traditional, non Orthodyne, employees.Orthodyne will announce their own cost cutting measures within the next two weeks.
Unfortunately, pay cuts alone will not generate expense reductions consistent with current demand levels, so we will also have another layoff.Affected employees will be notified later this quarter, after we have completed plans for several restructuring initiatives that are being analyzed by my staff.I am sorry I can’t be more specific about those initiatives today, but until we complete detailed cost/benefit analysis of each initiative (all designed to reduce the Company’s long-term cost structure), we can’t be sure which initiatives we will actually execute, or who will be laid off and when.I will, however, make this information available just as soon as those decisions are made.
Given the timing of pay cuts now and layoffs later, I am sure some of you are wondering about severance.Severance payments will, for those laid off, be based on their pre pay cut pay rates.
I realize these are tough measures that will have an impact on each and every one of you.But these are tough times, and we need to take these actions so that we will emerge from this downturn a stronger competitor, leading our industry.
As always, I thank you for your ongoing efforts and your commitment.
